Please read these Terms and Conditions ('Terms') carefully before using the Zentient mobile application and related services ('Service') operated by ZNTNT LLC ('Zentient', 'we', 'us', or 'our'). By creating an account and using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By downloading, installing, or using the Zentient application, you confirm that you:

• Are at least 18 years of age
• Have read and understood these Terms in full
• Agree to be bound by these Terms and our Privacy Policy
• Have the legal capacity to enter into a binding agreement in your jurisdiction

If you do not agree to these Terms, do not use the Service.

2. Description of Service

Zentient is a behavioral longevity optimization platform. The Service analyzes wearable device data and self-reported behavioral check-ins to produce a daily Longevity Score (on a 300–900 scale) and biological aging rate multiplier. The Service also provides personalized behavioral insights, protocols, challenges, and AI-assisted guidance through Zen.

3. Eligibility and Account Registration

3.1 Eligibility

The Service is available only to individuals who are 18 years of age or older. By using the Service, you represent and warrant that you meet this requirement.

3.2 Account Requirements

• You must provide accurate, current, and complete information when creating your account
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized access or suspected breach at support@zntnt.com
• One account per person, multiple accounts for the same individual are prohibited
• Accounts are personal and non-transferable

3.3 Beta Access

During the closed beta period, access is by invitation only. Beta users may access certain features that would otherwise require a paid subscription. We reserve the right to modify, limit, or terminate beta access at any time. Beta users who transition to paid plans will receive 30 days advance notice.

4. Subscription Plans and Billing

4.1 Available Plans

• Subscriptions are billed annually through our payment processor, Stripe, Inc.
• Subscription fees are charged at the beginning of each billing period
• Each plan is charged in the currency that plan is configured in, which is shown with the price before you confirm. If your payment method is held in another currency, your bank or card issuer may apply its own conversion rate and fees
• We reserve the right to change subscription pricing with 30 days advance written notice to your registered email

4.3 Refunds

Subscription payments are processed on our behalf by Stripe, Inc. Refund requests are handled directly by ZNTNT LLC, not by an app store. To request a refund, contact us at the address in the Contact section below. Approved refunds are returned to the original payment method and may take up to 10 business days to appear on your statement.

4.4 Auto-Renewal

Subscriptions auto-renew at the end of each billing period unless you cancel. You may cancel at any time using the Cancel Subscription option on the Subscription screen in the app, or on the Subscription page of the web app. Cancelling ends your subscription with Stripe and moves your account to the Free plan, with the unused portion of the current period prorated by Stripe. Refund requests are handled as described in section 4.3.

5. Creator Terms

5.1 Protocol and Challenge Creation

Users on Athlete and Elite plans may create behavioral protocols and challenges for other users. By publishing content on Zentient, you represent and warrant that:

• The content is accurate to the best of your knowledge
• You have all rights necessary to publish the content
• The content does not violate these Terms or applicable law
• The content does not make false, misleading, or unsupported health claims
• The content does not constitute the practice of medicine or other licensed healthcare activities

5.2 Revenue Share

Revenue share percentages are applied to the revenue we receive from purchases of your paid content. Payout mechanisms, any deductions, minimum thresholds, and payment schedules will be communicated separately. We reserve the right to withhold or reverse payments for content that violates these Terms.

5.3 Content Standards

All protocol and challenge content must:

• Be grounded in legitimate wellness and behavioral science
• Not promise specific medical outcomes or disease prevention
• Not contain false testimonials or fabricated statistics
• Not promote behaviors that are dangerous, medically contraindicated, or encourage harmful restriction of food or sleep

Zentient reserves the right to remove, suspend, or delist content that violates these standards without prior notice. Repeated violations may result in account termination and forfeiture of pending revenue.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable regulation
• Attempt to reverse engineer, decompile, or extract the source code of the Service
• Attempt to access, tamper with, or use another user's account or personal data
• Transmit false, misleading, or fabricated check-in data to manipulate your score or rankings
• Use the Service to collect data about other users without their explicit consent
• Interfere with the security, integrity, or availability of the Service or its infrastructure
• Use automated tools, bots, or scripts to access or scrape the Service
• Impersonate Zentient, its employees, scientific advisors, or other users
• Upload content that contains malware, viruses, or other harmful code

7. Intellectual Property

7.1 Zentient's Intellectual Property

All intellectual property in the Service, including the Zentient and ZNTNT brand marks, the Longevity Score methodology and scoring engine, the behavioral aging model, Zen's voice and character, all software, and all content produced by Zentient, is owned by or licensed to ZNTNT LLC. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes during the term of these Terms.

7.2 Your Content

You retain ownership of media, photos, and content you upload to the Service. By uploading content, you grant Zentient a limited, non-exclusive, royalty-free license to store, process, and use your content solely to provide the Service features you have enabled. We do not claim ownership of your content and will not use it for commercial purposes beyond the Service without your explicit consent.

8. Health and Scientific Disclaimers

Scientific foundation: The ZNTNT scoring methodology is informed by peer-reviewed research, including Shim, Fleisch & Barata (2024) published in npj Digital Medicine. However, the ZNTNT behavioral aging engine is a behavioral tracking instrument, it has not been validated as a clinical diagnostic tool and should not be used as one. Zentient makes no representation that improving your Longevity Score will extend your lifespan, prevent disease, or produce any specific health outcome.

Orthosomnia risk: Tracking health metrics can occasionally contribute to performance anxiety around sleep and wellness behaviors. If you experience distress related to your scores, we encourage you to consult a healthcare professional and to use the opt-out settings available in the app.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZENTIENT LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, HEALTH OUTCOMES, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF: (a) THE TOTAL AMOUNT YOU PAID TO ZENTIENT IN THE 12 MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (b) USD $100.

Some jurisdictions do not allow the exclusion of certain implied warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless ZNTNT LLC, its officers, directors, employees, scientific advisors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) any content you create or upload as a creator; or (d) your violation of any applicable law or third-party right.

11. Termination

We reserve the right to suspend or terminate your account, with or without notice, for:

• Violation of these Terms
• Fraudulent, harmful, or abusive behavior
• Failure to pay applicable subscription fees
• Inactivity exceeding 12 months (Free tier only)

You may terminate your account at any time via Settings > Deactivate Account within the app. Upon termination, your data will be deleted in accordance with our Privacy Policy. Sections 7, 8, 9, 10, and 12 survive termination.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms shall first be subject to good-faith negotiation between the parties for a period of 30 days. If unresolved, disputes shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) in Delaware under its Consumer Arbitration Rules. The arbitration shall be conducted in English.

CLASS ACTION WAIVER: You waive any right to participate in a class action lawsuit or class-wide arbitration against Zentient.

13. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Service, legal requirements, or business practices. We will notify you of material changes via email and in-app notification at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you may delete your account before the changes take effect.
